Terms of Service
The end user licence agreement and terms of service — the same text accepted when a Console is set up.
The contracting party is Zedmos, Inh. Dr. Serhat Rencber, Untere Hauptstraße 15, 78532 Tuttlingen, Germany. German law applies.

IMPORTANT — READ CAREFULLY. THIS END USER LICENSE AGREEMENT AND TERMS OF SERVICE ("AGREEMENT") IS A LEGALLY BINDING CONTRACT BETWEEN YOU, WHETHER AN INDIVIDUAL OR THE LEGAL ENTITY YOU REPRESENT ("YOU", "YOUR", OR "LICENSEE"), AND Zedmos, Inh. Dr. Serhat Rencber, a sole proprietorship registered in Germany AND ITS AFFILIATES ("ZEDMOS", "WE", "US", OR "OUR"). BY CLICKING "I ACCEPT", INSTALLING, ACTIVATING, ACCESSING, OR OTHERWISE USING THE ZEDMOS CONSOLE SOFTWARE, ANY ASSOCIATED FIREWALL/AGENT SOFTWARE, UPDATES, AND DOCUMENTATION (COLLECTIVELY, THE "SOFTWARE"), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.
If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "You" refers to that entity.
BUSINESS USE ONLY. The Software is offered to businesses, public bodies and other organisations acting in the course of a trade or profession. It is not offered to consumers within the meaning of section 13 of the German Civil Code, and accepting this Agreement is a representation that You are not acting as one. Nothing here limits any right a consumer would have by law if that representation turned out to be wrong.
1. DEFINITIONS
1.1 "Software" means the Zedmos Console management application, the Zedmos firewall/agent components, command-line utilities, APIs, updates, upgrades, patches, and accompanying documentation.
1.2 "License Key" means a credential issued by Zedmos that authorizes a defined scope of use (including trial/demo entitlements and paid subscription entitlements).
1.3 "Demo" or "Trial" means a time-limited and quantity-limited evaluation entitlement (by default thirty (30) days and up to three (3) managed firewalls) provided at no charge.
1.4 "Subscription" means a paid, term-based (e.g., annual) entitlement to use the Software subject to the applicable quotas.
1.5 "Managed Device" or "Firewall" means each distinct hardware/virtual instance enrolled into and managed by Your Console.
2. LICENSE GRANT
2.1 Subject to Your continuous compliance with this Agreement and payment of any applicable fees, Zedmos grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software solely for Your internal business or personal purposes and only within the scope, quantity, and term of Your applicable License Key or Trial entitlement.
2.2 Trial. During a Demo/Trial, the license is provided free of charge, "AS IS", for evaluation only, and automatically expires at the end of the Trial term or upon reaching the Trial quota, whichever occurs first. Continued use thereafter requires a valid paid License Key.
2.3 No Other Rights. All rights not expressly granted are reserved by Zedmos. This Agreement does not sell or transfer any ownership rights in the Software.
3. LICENSE RESTRICTIONS
You shall not, and shall not permit any third party to: (a) copy, modify, translate, or create derivative works of the Software except as expressly permitted; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, algorithms, or trade secrets, except to the limited extent such restriction is prohibited by applicable law; (c) rent, lease, lend, sell, sublicense, distribute, host, or provide the Software as a service to any third party, or use it in any service-bureau or managed-service offering to third parties, except as Schedule A expressly permits under an MSP entitlement; (d) remove, alter, or obscure any proprietary notices, labels, or License Keys; (e) circumvent, disable, or tamper with any licensing, security, metering, quota, or usage-verification mechanism, or exceed the licensed quantities; (f) use the Software to develop a competing product; (g) use the Software in violation of any applicable law, or to process, transmit, or store any unlawful, infringing, or malicious content; or (h) publish or disclose benchmark or performance results without Zedmos's prior written consent.
4. INTELLECTUAL PROPERTY
The Software and all intellectual property rights therein are and shall remain the exclusive property of Zedmos and its licensors. The Software is licensed, not sold. You retain ownership of Your own configuration data and content. You grant Zedmos a limited right to use technical and licensing data as described in Section 8.
5. THIRD-PARTY AND OPEN-SOURCE COMPONENTS
The Software includes third-party and open-source components licensed under their own terms. Where Zedmos distributes them to You, Zedmos carries the obligations those licences place on a distributor, including any duty to supply the corresponding source code; that duty is not transferred to You by this Agreement and could not be. The components are listed, with the licence each one carries and a written offer of source code, at https://www.zedmos.com/en/licenses. Nothing in this Agreement limits the rights any of those licences grants You, and where a term of this Agreement conflicts with such a licence, that licence prevails for the component it covers. Where You redistribute the Software under Schedule A, the same obligations pass to You in respect of Your own distribution.
6. FEES, SUBSCRIPTIONS, AND RENEWAL
6.1 Paid entitlements are sold on a term basis (e.g., annual). Fees are non-refundable except as required by law. You are responsible for all applicable taxes.
6.2 License Keys are valid only for the term and quantities purchased. Quotas (including the number of Managed Devices) are enforced by the Software and the Zedmos licensing service.
6.3 What a lapsed licence does, and what it does not. When an entitlement expires or is not renewed, paid features and the ability to issue new device licences cease and the Console becomes read-only: policy can be read but not changed, and no further devices can be enrolled. A firewall already enrolled continues to enforce the policy it holds. Zedmos does not operate a remote switch that disables enforcement on Your appliance, and the Software does not contain one. The same is true if the Console is unreachable for any reason.
6.4 Threat intelligence. Where Your entitlement includes curated indicators, they are licensed for use within the Software for the term and may not be redistributed, resold or published. Indicators are supplied as intelligence, not as a statement of fact about any address, domain or file; they carry a confidence value and Your policy decides what to do with them. Zedmos gives no warranty that the feed is complete or that any particular threat is represented in it.
7. YOUR RESPONSIBILITIES; ACCEPTABLE USE
7.1 You are solely responsible for: (a) Your use of the Software and the security, configuration, and lawful operation of Your firewalls and networks; (b) all activities performed under Your administrator credentials; (c) maintaining backups; and (d) obtaining and maintaining all hardware, software, and connectivity required.
7.2 The Software performs security-relevant functions (including traffic inspection and policy enforcement). You are responsible for configuring it appropriately for Your environment and for compliance with all laws applicable to interception, monitoring, data protection, and employee/user notice and consent.
7.3 You represent that Your use of the Software, including any inspection or monitoring You enable, is authorized and lawful in Your jurisdiction and with respect to all affected users.
7.4 Inspection of employee traffic. Where You operate the Software on a network used by Your employees, You alone decide whether to inspect and on what basis. In Germany this ordinarily engages the co-determination right of the works council over technical monitoring (Section 87(1) no. 6 BetrVG) and the rules on employee data (Section 26 BDSG); equivalent rules apply in other jurisdictions. Zedmos supplies a tool with the inspection switched off until You switch it on, and does not advise on whether Your deployment is lawful.
7.5 TLS interception. Decryption is off by default and applies only to the traffic Your policy selects. Where You enable it, You are responsible for the certificate authority You deploy to Your endpoints and for any category of traffic Your law or Your own policy requires You to exclude, such as communications with legal or medical privilege.
8. DATA, PRIVACY, AND TELEMETRY
8.1 To validate licenses and provide the service, the Software transmits to Zedmos limited technical and licensing data, which may include a hardware identifier (HWID), license key, product version, hostname, the Console identifier, contact email, and license status/usage counters ("Licensing Data").
8.2 Zedmos uses Licensing Data to issue, verify, meter, and enforce licenses, to provide support, and to improve the Software. Zedmos does not require, and Your Console does not transmit to Zedmos, the contents of Your inspected network traffic as part of licensing.
8.3 You are responsible for the lawful basis for processing any personal data within Your own deployment. Zedmos processes Licensing Data as an independent controller for the limited purposes above. Additional details may be provided in Zedmos's Privacy Notice.
8.4 Inspection stays where the traffic is. Classification, policy evaluation and content inspection are performed inline on Your appliance. No packet, payload or session record is transmitted to Zedmos as part of that inspection. Where the Software uses a language model to judge unstructured content, that model runs on hardware You provide or nominate; the content being judged is not sent to Zedmos or to any third-party model provider.
8.5 Console You host, console we host. Where You install the Console yourself, Zedmos has no access to it and processes nothing within it. Where You use a Console operated by Zedmos, Zedmos processes the personal data You place in it solely on Your documented instructions, as Your processor; a contract meeting Article 28 GDPR applies to that processing and is available on request. Which of the two applies is determined by where the Console runs, not by this Agreement.
9. CONFIDENTIALITY
Each party shall protect the other's Confidential Information with at least reasonable care and use it only to perform under this Agreement. The Software, License Keys, and non-public technical information are Zedmos's Confidential Information.
10. DISCLAIMER OF WARRANTIES
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEDMOS AND ITS LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT. ZEDMOS DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT IT WILL DETECT OR PREVENT ALL THREATS, ATTACKS, INTRUSIONS, MALWARE, OR DATA LOSS. NO SECURITY PRODUCT PROVIDES ABSOLUTE PROTECTION, AND YOU ASSUME ALL RISK ARISING FROM YOUR USE.
11. LIMITATION OF LIABILITY
11.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZEDMOS OR ITS AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR SECURITY BREACH, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEDMOS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID TO ZEDMOS FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS (USD $50). FOR SOFTWARE PROVIDED FREE OF CHARGE (INCLUDING TRIALS), ZEDMOS'S TOTAL LIABILITY SHALL NOT EXCEED USD $0.
11.3 These limitations apply notwithstanding the failure of essential purpose of any limited remedy. Some jurisdictions do not allow certain exclusions; in such jurisdictions liability is limited to the maximum extent permitted by law.
12. INDEMNIFICATION
You shall defend, indemnify, and hold harmless Zedmos and its affiliates, officers, and employees from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your use or misuse of the Software; (b) Your violation of this Agreement or any law; (c) Your configuration, monitoring, or interception of network traffic; or (d) Your infringement or violation of any third-party right.
13. TERM AND TERMINATION
13.1 This Agreement is effective upon acceptance and continues until terminated. It terminates automatically if You breach any term. Zedmos may suspend or terminate for cause, non-payment, or expiration.
13.2 Upon termination, all licenses end and You must cease use and delete all copies of the Software. Sections that by their nature should survive (including Sections 3, 4, 8–12, 14–16) survive termination.
13.3 Security updates and the support period. Zedmos publishes, for each product line, the period during which it provides security updates, together with a bill of materials for each release and a coordinated vulnerability disclosure policy stating how a report is received and how quickly it is answered. Those published terms form part of this Agreement for the line You license. They exist because a product with digital elements placed on the Union market carries duties of vulnerability handling and security maintenance, and Zedmos intends this Agreement to be read consistently with them.
13.4 Where an entitlement has lapsed, security updates are no longer supplied, which is a reason to renew rather than a reason the appliance stops: see Section 6.3.
14. EXPORT AND SANCTIONS COMPLIANCE
You represent that You are not located in, and will not use or export the Software in violation of, any applicable export-control or sanctions laws, and that You are not on any government restricted-party list.
15. GOVERNING LAW; DISPUTE RESOLUTION
This Agreement is governed by the laws of the Federal Republic of Germany, without regard to conflict-of-laws rules, and excluding the U.N. Convention on Contracts for the International Sale of Goods. The parties submit to the exclusive jurisdiction and venue of the courts located in Tuttlingen, Germany, unless the parties have agreed to binding arbitration in a separate order. You waive any right to participate in a class or representative action to the extent permitted by law.
16. GENERAL
16.1 Changes. Zedmos may update this Agreement; continued use after notice constitutes acceptance of the updated terms.
16.2 Entire Agreement. This Agreement is the entire agreement and supersedes all prior understandings regarding the Software.
16.3 Assignment. You may not assign this Agreement without Zedmos's prior written consent; Zedmos may assign it freely.
16.4 Severability; Waiver. If any provision is unenforceable, the remainder stays in effect; no waiver is implied by non-enforcement.
16.5 Force Majeure. Neither party is liable for delays caused by events beyond its reasonable control.

BY CLICKING "I ACCEPT" YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO THIS AGREEMENT, INCLUDING THE DISCLAIMERS OF WARRANTY (SECTION 10), THE LIMITATIONS OF LIABILITY (SECTION 11) AND, WHERE YOU HOLD AN MSP ENTITLEMENT, SCHEDULE A.
SCHEDULE A — MANAGED SERVICE PROVIDERS
This Schedule applies where You hold an MSP entitlement and use the Software to deliver a managed service. It prevails over Section 3(c) to the extent of any conflict and changes nothing else in this Agreement.
A.1 What is permitted. Under an MSP entitlement You may operate the Software on behalf of Your customers ("Managed Clients"), enrol their firewalls into a Console You operate or that Zedmos operates for You, configure and administer those firewalls as their service provider, and charge Your own fees for doing so. You may present the Console and the firewall interface under Your own brand where Your entitlement includes that right.
A.2 What You owe Your Managed Clients, not Zedmos. Zedmos has no contract with a Managed Client and owes a Managed Client no duty, warranty, service level or support. Your Managed Clients are Your customers; the service they buy is Yours; the promises they rely on are Yours. A Managed Client has no claim against Zedmos arising out of Your service.
A.3 Flow-down. Before enrolling a Managed Client You shall bind that client, in writing, to terms at least as protective of Zedmos as Sections 3 (restrictions), 4 (intellectual property), 7 (responsibilities and acceptable use), 9 (confidentiality) and 14 (export and sanctions) of this Agreement. Where Your terms are silent, this Agreement applies to that client's use as if it had accepted it.
A.4 Indemnity. You shall defend and indemnify Zedmos against any claim brought by a Managed Client or by a person whose traffic Your service inspects, to the extent the claim arises from Your service, Your configuration, a statement You made, or Your failure to obtain a lawful basis under Section 7.4 or to flow down under A.3. This is in addition to Section 12 and is not limited by Section 11 in respect of third-party claims.
A.5 Counting and verification. Fees follow the number of managed firewalls, counted as Your entitlement describes. You shall not suppress, delay or misreport enrolment to reduce the count. Zedmos may verify the count from the licensing data described in Section 8.1 and, on thirty (30) days' written notice and no more than once in twelve months, may ask You to confirm it in writing. An undercount found on verification is invoiced at the applicable rate.
A.6 Brand. Any right to apply Your brand to the Console, the firewall interface or an installation image is a limited, non-exclusive, revocable licence for the term of Your entitlement. It transfers no ownership and creates no right in the Software. You shall not represent that You authored the inspection engine, and You shall not remove or obscure the attribution of the engine, its update repositories, its bill of materials or its vulnerability-disclosure path, which remain Zedmos's and remain identified as such — a requirement of Union law for products with digital elements as much as a term of this Agreement.
A.7 Data protection. Where a Managed Client is the controller of personal data and You act as its processor, and where the Console is operated by Zedmos, Zedmos acts as Your sub-processor. You represent that You hold Your Managed Client's authorisation to appoint a sub-processor and You shall enter into the Article 28 contract Zedmos makes available. Where You operate the Console yourself, Zedmos processes nothing within it and this paragraph does not apply.
A.8 Lawful inspection in Your clients' networks. Sections 7.4 and 7.5 apply to each network on which the Software inspects traffic. Where that network is a Managed Client's, You shall satisfy Yourself that the client has the lawful basis, the notices and any works-council agreement its jurisdiction requires before You enable inspection, and You shall not enable it on that client's behalf without its documented instruction.
A.9 Support. Zedmos supports You. You are first line for Your Managed Clients and shall not direct them to Zedmos.
A.10 If Your entitlement ends. Firewalls already enrolled continue to enforce the policy they hold, as Section 6.3 describes; the Console becomes read-only and no further firewalls can be enrolled. You shall tell Your affected Managed Clients within a reasonable period. Zedmos may offer any Managed Client a licence of its own, and doing so is neither a breach of this Agreement nor an interference with Your customer relationship.
